IMPORTANT LEGAL NOTICE — PLEASE READ CAREFULLY. By accessing or using the Solid Capital website, platform, or any of our services, you confirm that you have read, understood, and agree to be legally bound by these Terms of Use and Service Agreement. If you do not agree, do not use our services.

1. ABOUT SOLID CAPITAL

1.1 Nature of Services

Solid Capital Inc. (“Solid Capital,” “we,” “us,” or “our”) is an advertising and lead generation company incorporated and operating in Québec, Canada. Our registered office is located in Laval, Québec. Solid Capital connects small and medium-sized businesses seeking financing with third-party lenders and financial service providers (“Partner Lenders”).

1.2 Not a Lender — Advertising Company Disclosure

CRITICAL DISCLOSURE: Solid Capital is NOT a lender, loan broker, financial institution, or mortgage broker. We do NOT provide loans, advances, lines of credit, or any form of financial product. We do NOT hold a financial services licence issued by the Autorité des marchés financiers (AMF) or any other regulatory body. Solid Capital is an advertising and lead generation intermediary only. Any financing you receive will be provided directly by a third-party Partner Lender, governed by a separate agreement between you and that lender.

1.3 No Guarantee of Financing

Submitting an inquiry, application form, or any other information through the Solid Capital platform does not guarantee that you will receive financing from any Partner Lender. Approval decisions are made exclusively by Partner Lenders at their sole discretion.

2. DEFINITIONS

As used in this Agreement, the following terms have the meanings set out below:

  • "Agreement" means these Terms of Use and Service Agreement, together with our Privacy Policy and any other policies or notices incorporated herein by reference.
  • "Partner Lender" means any third-party financial institution, lender, or financing provider to whom Solid Capital may refer your information.
  • "User," "you," or "your" means any individual or business entity that accesses or uses the Solid Capital website or services.
  • "Platform" means the Solid Capital website, subdomains, and any related digital services we operate.
  • "Personal Information" has the meaning given under Québec Law 25 and PIPEDA.
  • "Services" means the advertising, referral, and lead generation services provided by Solid Capital as described in this Agreement.
  • "Referral" means the act of Solid Capital transmitting your inquiry and information to one or more Partner Lenders.

3. ELIGIBILITY AND USER REPRESENTATIONS

3.1 Eligibility Requirements

By using our Services, you represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal authority to bind any business entity on whose behalf you are acting.
  • All information you provide is true, accurate, current, and complete.
  • You will promptly update any information that becomes inaccurate or incomplete.
  • Your use of the Services does not violate any applicable law or regulation.
  • You are not prohibited from receiving services under any applicable law.

3.2 Business Use Only

The Services are intended for business purposes only. Solid Capital does not provide consumer financing referrals or services to individuals for personal, family, or household purposes. By using the Platform, you confirm that any financing inquiry you make relates to legitimate business purposes.

4. HOW OUR SERVICES WORK

4.1 Lead Generation and Referral Process

When you submit an inquiry or application form on our Platform, Solid Capital may share your information with one or more Partner Lenders. Solid Capital acts solely as a marketing intermediary and does not participate in any lending decision, loan negotiation, or loan documentation process.

4.2 Partner Lender Relationships

Solid Capital maintains advertising and referral relationships with Partner Lenders. We may receive compensation from Partner Lenders for referrals. The existence of such compensation does not affect the terms or rates offered to you by any Partner Lender. All financing arrangements are between you and the Partner Lender directly, governed by the Partner Lender’s own agreements.

4.3 Multiple Lender Referrals

By submitting an inquiry, you acknowledge and consent that your information may be shared with multiple Partner Lenders simultaneously. You may be contacted by more than one lender in response to your inquiry.

4.4 No Control Over Partner Lender Decisions

Solid Capital has no control over the financing decisions, rates, terms, fees, or availability of products offered by Partner Lenders. Solid Capital makes no warranties regarding the availability of any financing product or the competitiveness of any offer you may receive.

5. INFORMATION ACCURACY AND USER OBLIGATIONS

5.1 Accuracy of Information

You agree to:

  • Provide only true, accurate, and complete information when submitting any inquiry or form on our Platform.
  • Not misrepresent your identity, your business, your financial position, or any other material fact.
  • Not submit fraudulent, false, or misleading information.
  • Update your information promptly if any submitted details change.

5.2 Prohibited Uses

You may not use the Platform or Services to:

  • Violate any applicable federal, provincial, or local law or regulation.
  • Submit false or fraudulent applications or inquiries.
  • Engage in any form of money laundering, fraud, or other illegal financial activity.
  • Scrape, copy, reproduce, or redistribute Platform content without prior written consent.
  • Interfere with the operation, security, or integrity of the Platform.
  • Use automated tools, bots, or scripts to access or interact with the Platform.
  • Impersonate any person or entity.
  • Collect or harvest personal information of other users.

6. PRIVACY AND PERSONAL INFORMATION

6.1 Applicable Privacy Law

Solid Capital complies with the Act respecting the protection of personal information in the private sector (Québec Law 25), the Personal Information Protection and Electronic Documents Act (PIPEDA), and Canada’s Anti-Spam Legislation (CASL). Our full Privacy Policy is available on our Platform and is incorporated into this Agreement by reference.

6.2 Consent to Collection and Use

By submitting an inquiry on our Platform, you expressly consent to Solid Capital collecting, using, and disclosing your personal information for the purpose of connecting you with Partner Lenders, improving our Services, complying with legal obligations, and for the other purposes described in our Privacy Policy.

6.3 Sharing with Partner Lenders

You expressly authorize Solid Capital to share your personal and business information, including but not limited to your name, contact details, business name, requested financing amount, and financial information, with Partner Lenders for the purpose of evaluating your financing inquiry. Partner Lenders receiving your information are independent third parties and are responsible for their own compliance with applicable privacy laws.

6.4 Marketing Communications

By using our Services, you consent to receive commercial electronic messages from Solid Capital and, where applicable, from Partner Lenders, in compliance with CASL. You may withdraw your consent at any time by following the unsubscribe instructions in any commercial message or by contacting us at the address set out in Section 16. Withdrawal of consent to receive marketing communications will not affect the provision of non-marketing communications related to your inquiries.

6.5 Data Retention

Solid Capital retains personal information for as long as necessary to fulfill the purposes for which it was collected, or as required by applicable law. You have the right to access, correct, or request the deletion of your personal information, subject to applicable legal and regulatory requirements. To exercise these rights, contact our Privacy Officer at the address in Section 16.

6.6 Electronic Consent to Documents

By using our Platform, you consent to transact business electronically and to receive all notices, disclosures, agreements, and communications electronically. You acknowledge that you have the ability to receive and retain electronic records. You may request paper copies of any document by contacting us, though fees may apply.

7. INTELLECTUAL PROPERTY

7.1 Ownership

All content, materials, trademarks, logos, text, graphics, data, and other intellectual property on the Solid Capital Platform are the exclusive property of Solid Capital Inc. or its licensors. Nothing in this Agreement grants you any ownership or licence in any of the foregoing, except as expressly stated.

7.2 Limited Licence

Solid Capital grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purpose of submitting a financing inquiry. You may not reproduce, modify, distribute, sell, sublicence, or create derivative works from any Platform content without prior written consent from Solid Capital.

7.3 User Content

Any information, data, or content you submit to the Platform (“User Content”) remains your property. By submitting User Content, you grant Solid Capital a non-exclusive, royalty-free, worldwide licence to use, process, and share that content for the purposes of providing the Services and as described in our Privacy Policy. You represent that you have all necessary rights to grant this licence and that your User Content does not infringe any third-party rights.

8. DISCLAIMERS AND LIMITATION OF LIABILITY

8.1 No Financial Advice

Solid Capital does not provide financial, legal, investment, tax, or business advice. Nothing on the Platform constitutes a recommendation or endorsement of any particular financial product or Partner Lender. You should seek independent professional advice before making any financial decision.

8.2 “As Is” Disclaimer

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. SOLID CAPITAL DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

8.3 Third-Party Lender Disclaimer

Solid Capital makes no representations or warranties regarding any Partner Lender, including their products, rates, terms, fees, financial stability, regulatory compliance, or any other aspect of their operations. Solid Capital is not responsible for the acts, omissions, products, or services of any Partner Lender. Any dispute arising from your dealings with a Partner Lender must be resolved directly with that lender.

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLID CAPITAL, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM OR SERVICES, INCLUDING BUT NOT LIMITED TO: LOSS OF REVENUE OR PROFIT; LOSS OF DATA; INABILITY TO ACCESS FINANCING; ACTS OR OMISSIONS OF ANY PARTNER LENDER; OR ANY OTHER LOSS OR DAMAGE, EVEN IF SOLID CAPITAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.5 Cap on Liability

To the extent that any liability of Solid Capital is established by a court of competent jurisdiction, Solid Capital’s maximum aggregate liability to you for all claims arising under or in connection with this Agreement shall not exceed one hundred Canadian dollars (CAD $100.00), regardless of the nature or basis of the claim.

9. INDEMNIFICATION

You agree to Indemnify, defend, and hold harmless Solid Capital Inc. and its directors, officers, employees, agents, successors, and assigns from any claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of:

  • your use of the Platform or Services
  • your breach of this Agreement
  • any inaccurate or false information you provide
  • your violation of any applicable law or regulation
  • any claim by a third party arising from your actions in connection with the Services.

10. LINKS TO THIRD-PARTY WEBSITES

The Platform may contain links to third-party websites, including Partner Lender websites. Solid Capital does not control, endorse, or take responsibility for any third-party website or content. Your access to and use of any third-party website is at your own risk and subject to that website’s own terms and conditions. The presence of a link does not imply any affiliation, sponsorship, or endorsement by Solid Capital.

11. ANTI-SPAM COMPLIANCE (CASL)

Solid Capital complies with Canada’s Anti-Spam Legislation (CASL), S.C. 2010, c. 23. We will only send commercial electronic messages with your express or implied consent as permitted under CASL. Every commercial electronic message we send will include:

  • Solid Capital complies with Canada’s Anti-Spam Legislation (CASL).
  • Contact information for Solid Capital
  • Every message will include identification, contact info, and an unsubscribe mechanism.
  • Consent withdrawal is processed within ten (10) business days.

12. QUÉBEC CONSUMER PROTECTION AND LANGUAGE REQUIREMENTS

12.1 Consumer Protection Act (Québec)

The Services are intended for business-to-business use. The Québec Consumer Protection Act (CQLR c P-40.1) applies to certain contracts with consumers. If any portion of our Services is found to apply to a consumer transaction, Solid Capital will comply with all applicable requirements of the Consumer Protection Act, including rules relating to advertising, disclosure, and misleading representations.

12.2 French Language Requirements — Charter of the French Language

In compliance with the Charter of the French Language (CQLR c C-11), as amended by Bill 96 (An Act respecting French, the official and common language of Québec), Solid Capital makes this Agreement and all key communications available in French. Where French text and English text conflict, the French version governs for Québec residents. You may request a French version of this Agreement or any document by contacting us at the address in Section 16. / Conformément à la Charte de la langue française, Solid Capital met cette entente à la disposition en français. 12.3 Competition Act (Canada) Compliance

Solid Capital does not engage in false or misleading advertising or deceptive marketing practices. All representations made on our Platform are truthful and not misleading in any material respect, in compliance with the federal Competition Act (RSC 1985, c C-34). Solid Capital does not make performance representations about financing outcomes that it cannot substantiate.

12.4 Office de la protection du consommateur

Complaints regarding advertising or consumer protection matters related to Solid Capital may be directed to the Office de la protection du consommateur (OPC) at www.opc.gouv.qc.ca.

13. MODIFICATIONS TO THIS AGREEMENT

Solid Capital reserves the right to amend, update, or replace this Agreement at any time. We will provide notice of material changes by posting the updated Agreement on the Platform with a revised effective date. Where required by applicable law (including Québec consumer protection law), we will provide direct notice of material changes. Your continued use of the Platform or Services after the effective date of any amendment constitutes your acceptance of the revised Agreement. If you do not agree with any amendment, you must stop using the Platform.

14. TERMINATION

Solid Capital may, at its sole discretion and without prior notice, suspend or terminate your access to the Platform and Services for any reason, including but not limited to: breach of this Agreement; fraudulent or illegal activity; or technical or business reasons. Upon termination, all rights granted to you under this Agreement cease immediately. Provisions of this Agreement that by their nature should survive termination shall survive, including Sections 7, 8, 9, 14, and 15.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law

This Agreement is governed by and construed in accordance with the laws of the Province of Québec and the applicable federal laws of Canada, without regard to any conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15.2 Jurisdiction

Any legal proceedings arising out of or relating to this Agreement shall be instituted exclusively in the courts of the Province of Québec, District of Laval or Montréal. You irrevocably consent to the personal jurisdiction of such courts and waive any objection to proceedings in those courts on grounds of venue or inconvenient forum.

15.3 Informal Resolution

Before initiating any formal dispute, you agree to contact Solid Capital in writing at the address in Section 16 and allow 30 days for Solid Capital to attempt to resolve the dispute informally. This requirement does not apply to emergency injunctive relief.

15.4 Class Action Waiver

To the maximum extent permitted by applicable law, you waive any right to commence or participate in any class action, collective proceeding, or representative proceeding against Solid Capital. Nothing in this Section waives any rights you may have under applicable Québec consumer protection legislation.

17. GENERAL PROVISIONS

17.1 Entire Agreement

This Agreement, together with our Privacy Policy and any other policies incorporated by reference, constitutes the entire agreement between you and Solid Capital with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, and understandings.

17.2 Severability

If any provision of this Agreement is found to be invalid, void, or unenforceable by a court of competent jurisdiction, that provision will be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

17.3 Waiver

No failure or delay by Solid Capital in exercising any right under this Agreement shall constitute a waiver of that right. No single or partial exercise of any right shall preclude any other or further exercise of that right.

17.4 Assignment

You may not assign or transfer any of your rights or obligations under this Agreement without Solid Capital’s prior written consent. Solid Capital may assign this Agreement, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets. This Agreement is binding on successors and permitted assigns.

17.5 Force Majeure

Solid Capital shall not be liable for any delay or failure to perform its obligations under this Agreement resulting from causes beyond its reasonable control, including acts of God, government actions, internet service disruptions, or other force majeure events.

17.6 Electronic Signatures

Clicking “I Agree,” “Submit,” or similar buttons, or using the Services, constitutes an electronic signature and has the same legal effect as a written signature under applicable Canadian law, including the Act to establish a legal framework for information technology (Québec, CQLR c C-1.1).

17.7 Language

The parties have requested that this Agreement and all documents related hereto be drawn up in English. Les parties ont demandé que ce contrat et tous les documents y afférents soient rédigés en anglais.
